Terms & Conditions

Media Box FZC LLC ("Agency," "we," "us") provides digital marketing, web design, and branding services. By hiring us, approving a quote, or using our services, the Client ("you") agrees to be bound by the following Terms and Conditions.

1. General
These Terms and Conditions apply to all services provided by Media Box FZC LLC. No variation to these terms shall be binding unless agreed in writing and signed by an authorized representative of the Agency.

2. Services & Scope of Work
The specific services to be provided (e.g., Social Media Management, SEO, Web Design) will be defined in the Proposal, Quotation, or Invoice provided to the Client.

Scope Creep: Any work requested by the Client outside of the agreed scope will be charged at our standard hourly rate or quoted separately as a new project.

Hours of Operation: Our standard business hours are Monday to Friday, 9:00 AM to 6:30 PM (Dubai Time).

3. Fees and Payment Terms
Project-Based Work: A non-refundable deposit (typically 50%) is required before work commences. The remaining balance is due upon project completion or strictly prior to file handover/website launch.

Monthly Retainers: Fees for monthly services (e.g., Social Media, SEO) must be paid in advance, on or before the 1st of every month.

Late Payments: Invoices not paid within [7] days of the due date may result in a pause of services. We reserve the right to charge a late fee on overdue balances.

Ad Spend: All advertising budgets (paid to Google, Meta, TikTok, etc.) are the sole responsibility of the Client and are not included in our Agency fees. The Client must pay the platforms directly via their own credit card.

4. Client Responsibilities & Approvals
Materials: The Client agrees to provide all necessary text, images, logins, and brand assets required for the Agency to perform the work in a timely manner.

Approvals: The Client must review and approve content/designs within [48] hours of receipt. Failure to respond within this timeframe will be considered an automatic approval to proceed to the next stage to strictly adhere to timelines.

Delays: If the project is delayed due to the Client's failure to provide materials or approvals, the Agency reserves the right to adjust the deadline or charge a restart fee if the project goes dormant for more than 30 days.

5. Intellectual Property (IP)
Ownership: Upon full payment of all fees, the Client is granted ownership of the final approved designs, website, and content.

Agency Rights: Media Box FZC LLC retains the right to use the completed work (designs, screenshots, performance data) in our portfolio, website, and marketing materials for promotional purposes.

Working Files: We provide final output files (e.g., JPG, PDF, Live Website). Raw working files (e.g., Photoshop layers, Premiere Pro project files) remain the property of the Agency unless specifically agreed upon in the proposal.

6. Third-Party Platforms & Algorithms
No Control: The Client acknowledges that the Agency has no control over the policies of third-party platforms (Google, Facebook, Instagram, TikTok). We are not responsible for changes in algorithms, account suspensions, or loss of data caused by these platforms.

Rankings: While we use best practices for SEO, we cannot guarantee specific rankings on Google, as search algorithms change daily.

7. Limitation of Liability
To the fullest extent permitted by UAE law, Media Box FZC LLC shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, data, or use, incurred by the Client or any third party.

Marketing Results: We do not guarantee specific ROI (Return on Investment) or sales figures, as these depend on market conditions, product pricing, and factors outside our control.

8. Termination
By Client: Monthly retainers can be canceled with 30 days' written notice via email to admin@dxbmediabox.com.

By Agency: We reserve the right to terminate the agreement immediately if the Client breaches these terms (e.g., non-payment) or engages in abusive conduct towards our staff.

9. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising under this agreement shall be subject to the exclusive jurisdiction of the courts of Dubai.
